1. About these Terms

These Terms of Use ("Terms") apply to the Palante Nonprofits app on iPhone, Android, and desktop, the website palantenonprofits.app, and our website palantenonprofits.com (together, "Palante"). Palante is run by Palante Nonprofits, LLC, a Florida limited liability company ("Palante," "we," "us").

By creating an account or using Palante, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use Palante.

If you use Palante for a nonprofit or other organization, you agree to these Terms for that organization, and you confirm you have permission to do so.

2. Who can use Palante

Palante is for adults. You must be at least 18 years old to create an account. Palante is built for nonprofit leaders, board members, staff, and volunteers.

3. What Palante does

Palante helps nonprofit leaders stay on top of compliance. Depending on your plan, you can:

See your organization's compliance status and upcoming state and federal deadlines.
View your client folder with your organization's documents.
Take mini trainings and get monthly learning tips.
See key fundraising dates and awareness days.
Use our website checklist.
Book coaching calls with our team.
Get alerts and reminders.
Use Palante in English or Spanish.

We may add, change, or remove features over time.

4. General information, not legal or tax advice

Palante gives general information and education to help you understand compliance. It is not legal, tax, accounting, or financial advice.

Palante Nonprofits, LLC is not a law firm or a CPA firm. Using Palante does not make us your lawyer or accountant.

Our team works to keep your compliance tracker accurate, but deadlines and rules change and depend on information you give us. Your organization is still responsible for meeting its own filing deadlines and legal requirements. Please check anything important with the government agency involved or a licensed professional.

Palante does not file documents with the IRS or any state for you unless you sign a separate agreement with us for that service.

AI features. Some Palante features use artificial intelligence, for example to summarize documents in your client folder. AI answers can be wrong, incomplete, or out of date. Check them before you rely on them. AI answers are not legal or tax advice.

5. Your account

Give us accurate information when you sign up, and keep it up to date. Keep your password private. You are responsible for what happens in your account. Tell us right away at support@palantenonprofits.com if you think someone used your account without permission.

6. Your organization's information and client folder

You own the information and documents you or your organization share with Palante, such as your EIN, filings, bylaws, and board information ("Your Content").

You allow us to store, use, and display Your Content only to run Palante for you, support you, and improve our services. We will not publish Your Content.

Only upload or share information you have the right to share. Please do not upload Social Security numbers, bank or card numbers, or health information unless we ask for them for a specific service.

You and our team can both add documents to your client folder. You can delete documents you added at any time.

7. Plans, payments, and renewals

Price. Palante costs the amount shown when you sign up, plus any taxes. The current price is $19.99 per year.

Automatic renewal. Your plan renews on its own at the end of each billing period until you cancel. We will charge the payment method you chose.

How you pay.

If you subscribe on iPhone, Apple handles your payment under Apple's terms. Cancel in your Apple ID settings.
If you subscribe on Android, Google Play handles your payment under Google's terms. Cancel in your Google Play settings.
If you subscribe on desktop, Stripe handles your payment. Cancel in your account settings or by emailing support@palantenonprofits.com.

Canceling. You can cancel at any time. Your access continues until the end of the period you already paid for.

Refunds. Payments are not refundable, except where the law requires it. Refunds for Apple or Google purchases follow their own rules.

Price changes. If we change the price, we will tell you before it applies to you, and you can cancel before the new price starts.

8. Promo codes and free periods

We may offer promo codes or free periods, for example for active Palante clients. Each offer has its own rules, which we will share with it. Codes have no cash value, cannot be sold, and may end on the date we state. When a free period ends, your plan will renew at the regular price unless you cancel before then.

9. Coaching calls and other services

Coaching calls give general guidance. They are not legal or tax advice. If you hire Palante for consulting or other services beyond the app, a separate agreement will cover that work. If that agreement conflicts with these Terms, the separate agreement controls for that work.

10. Using Palante responsibly

Please do not:

Break the law or help someone else do so.
Share your login with people outside your organization.
Try to get into accounts, data, or systems that are not yours.
Upload viruses or harmful code.
Copy, scrape, resell, or rebuild Palante or its content, including to train an AI model.
Pretend to be someone else or say you represent an organization when you do not.

We may suspend or close accounts that break these rules.

11. Our content

The trainings, tips, checklists, designs, and software in Palante belong to Palante Nonprofits, LLC or the people who license them to us. While you have an account, you may use them for your own organization. Please do not sell them, republish them as your own, or remove our name from them.

12. Feedback

If you send us ideas or feedback, we may use them to improve Palante without paying you. We will not share your name with your feedback without your permission.

13. Outside services and links

Palante may link to or work with services run by others, such as government websites, Apple, Google, and our payment provider. We do not control those services and are not responsible for them.

14. Ending your account

You can stop using Palante and delete your account at any time in the app settings or by emailing support@palantenonprofits.com. We may suspend or end your access if you break these Terms, if your payment fails, or if we stop offering Palante. If we stop offering Palante, we will try to give you notice so you can download your information.

15. No warranties

WE PROVIDE PALANTE "AS IS" AND "AS AVAILABLE." TO THE EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES OF ANY KIND, INCLUDING THAT PALANTE WILL BE ACCURATE, COMPLETE, CURRENT, ALWAYS AVAILABLE, OR FREE OF ERRORS, OR THAT IT WILL CATCH EVERY DEADLINE THAT APPLIES TO YOUR ORGANIZATION.

16. Limits on liability

TO THE EXTENT THE LAW ALLOWS, PALANTE NONPROFITS, LLC AND ITS OWNERS, MANAGERS, AND TEAM ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING MISSED DEADLINES, PENALTIES, FINES, LOSS OF TAX EXEMPT STATUS, OR LOST FUNDING. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. SOME STATES DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.

17. Your responsibility to us

If someone makes a claim against us because you broke these Terms or the law, or because of Your Content, you agree to cover our reasonable costs, including attorney fees, to the extent the law allows.

18. Disputes

Florida law governs these Terms, without regard to its conflict of law rules. Any dispute will be decided in the state or federal courts in Orange County, Florida. Either side may use small claims court. Before filing any claim, please email us at support@palantenonprofits.com so we can try to fix the problem first.

If we cannot fix the problem within 30 days, either side may go to court as described above.

19. Apple and Google

If you downloaded Palante from the Apple App Store or Google Play:

These Terms are between you and Palante Nonprofits, LLC, not Apple or Google.
Palante Nonprofits, LLC, not Apple or Google, is responsible for the app, its support, and any claims about it.
Apple and its subsidiaries may enforce these Terms against you as third party beneficiaries.
You must also follow the App Store or Google Play terms.

20. Language

We may offer these Terms in English and Spanish. If the two versions differ, the English version controls.

21. Changes to these Terms

We may update these Terms. We will post the new version and change the date at the top. If a change is important, we will tell you by email or in the app before it takes effect. If you keep using Palante after a change takes effect, you accept the new Terms.
